Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Simple Industry (the “Service”), a web application for small manufacturing shops. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
License to use the Service
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes. We retain all rights, title, and interest in the Service, including its software and content.
Your account
You are responsible for the accuracy of the information you provide, for safeguarding your login credentials, and for all activity that occurs under your account. Notify us promptly of any unauthorized use.
Acceptable use
You agree not to:
- use the Service for any unlawful purpose or in violation of these Terms;
- attempt to reverse engineer, decompile, or gain unauthorized access to the Service or its underlying systems;
- interfere with or disrupt the integrity or performance of the Service, or attempt to access another customer’s data;
- resell or provide the Service to third parties without our written consent;
- upload or enter technical data or Controlled Unclassified Information, as described below.
No technical data, no controlled information
The Service is built to hold shop records: part numbers, quantities, vendors, heat numbers, certificates, and similar business data. It is not built to hold, and you must not upload or type into the Service, technical data (drawings, models, dimensions, specifications, or other data about how a controlled item is designed, built, or works) as that term is used in U.S. export control law (ITAR, 22 CFR 120.33, and the EAR), or Controlled Unclassified Information (CUI) under a U.S. government contract or flow-down. If you are not sure whether something you want to add falls into either category, do not add it — contact us first at the address below.
Your data
You retain ownership of the data you submit to the Service. You grant us a limited license to host, process, and use that data solely to provide and improve the Service. Our handling of personal information is described in our Privacy Policy.
Third-party services
The Service can connect to third-party services you authorize, such as QuickBooks Online. Your use of those services is governed by their own terms and policies. We are not responsible for third-party services, and your authorization of a connection is at your discretion.
Recommendations are advisory
The Service produces production and inventory recommendations from the data available to it. These are decision-support outputs, not professional advice. You are solely responsible for the business decisions you make using the Service.
Disclaimer of warranties
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that results will be accurate.
Limitation of liability
To the maximum extent permitted by law, Simple Industry and its founders will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business, arising out of or related to your use of the Service.
Termination
You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms or to protect the Service. Upon termination, your right to use the Service ends.
Changes to these Terms
We may update these Terms from time to time. We will post the updated version here and revise the “Last updated” date above. Continued use of the Service after changes take effect constitutes acceptance.
Governing law
These Terms are governed by the laws of Arizona, USA, without regard to conflict of law principles.
